Terms of service
Conditions governing access to Social Funnels, subscriptions, and customer data.
Last updated:
1. Agreement and eligibility
These terms form an agreement between you and the operator identified in the Legal notice (“we”, “us”, or “our”). You must be at least 18 and legally capable of contracting. You may subscribe individually or for an organization; if acting for another party, you warrant authority to bind it. References to an organization include an individual customer’s account structure. Consumer status is determined by applicable law.
By registering, purchasing, or using the service after these terms have been made available, you accept them. The customer data processing terms in section 12 form part of this agreement; our Privacy policy describes personal information processing. A separately signed agreement prevails over expressly conflicting provisions. Nothing in these terms excludes rights or liability that cannot lawfully be excluded.
2. Service scope
Social Funnels provides Instagram automation, messaging, comment, contact, inbox, resource-delivery, team, and reporting tools for authorized professional accounts. Access is limited by your plan, payment status, permissions, and applicable platform restrictions. Features may require valid third-party accounts and authorizations.
We do not warrant sales, audience growth, campaign results, complete historical imports, uninterrupted operation, or continued availability of third-party features. Social Funnels is not a permanent backup or a service for emergency or regulated high-risk use. Except as expressly agreed or required by law, no service-level commitment is provided.
3. Account responsibility
You must provide accurate information, secure your credentials, use individual user accounts, and promptly report unauthorized access. You are responsible for your organization’s members, tools, configurations, access grants, and activity you authorize. Connect only accounts you own or have authority to manage. Agencies must obtain and maintain the necessary client authorizations and lawful instructions.
4. Instagram and third-party platforms
You must comply with the Meta Platform Terms, Meta Developer Policies, Instagram Terms of Use, and applicable messaging, privacy, and anti-spam laws. Social Funnels uses official APIs; it does not authorize activity prohibited by the connected platform.
Meta and other providers may change, restrict, suspend, or revoke their services or permissions. We do not control those decisions. You are responsible for maintaining required access and complying with account restrictions. Social Funnels is independent of Meta and Instagram and is not endorsed by them.
5. Content and acceptable use
You are responsible for your content, recipients, campaigns, instructions, and collection and use of personal data, including all necessary rights, permissions, notices, and lawful bases. You grant us a non-exclusive, worldwide licence to host, process, transmit, display, and reproduce submitted content as necessary to provide, administer, secure, and support the service. You retain ownership of your content.
You must not:
- Send spam, unlawful or deceptive material, harassment, or malware.
- Infringe rights, impersonate others, misuse data, or conduct unlawful profiling.
- Scrape platforms, bypass limits or security controls, or disrupt the service.
- Collect passwords, full payment credentials, or specially regulated sensitive data through funnels without an expressly agreed use and appropriate safeguards.
- Sell or repurpose Meta platform data contrary to its terms, including prohibited advertising or model-training uses.
We may reject, restrict, or remove content or activity that breaches these terms or creates a legal, security, or platform-compliance risk. This does not create an obligation to monitor every customer’s content.
6. Fees and subscriptions
Prices, taxes, billing intervals, allowances, trial conditions, and add-ons are disclosed at purchase. Subscriptions renew automatically until canceled. You authorize collection of approved charges through Stripe and must maintain accurate billing information and a valid payment method. Except where required by law or expressly agreed in writing, fees are non-refundable; unused access, capacity, or allowances do not create a credit.
Upgrades and capacity additions may incur confirmed prorated charges. Downgrades and removals generally apply at the end of the relevant paid period. You must make any required account or workspace selection before a reduction takes effect; associated data may be deleted. The confirmed timing and price govern each change.
Add-ons require an active base subscription. Prepaid add-on time does not extend base access or retention, pause when base access ends, or create an automatic refund. Restoring base access before add-on expiry restores only the remaining prepaid time. Recurring price changes will be notified before the affected renewal, allowing cancellation. A trial does not authorize paid charges without the applicable purchase authorization.
7. Cancellation, refunds, and deletion
The organization Owner can cancel in billing settings. Ordinary cancellation stops the next renewal; access continues through the paid base period, with no prorated refund. Trial or subscription expiry stops sending and starts a 30-day read-only and export period, after which product data is subject to deletion unless paid access is restored. Failed renewal does not provide a continued-sending grace period. Prepaid add-on time does not prevent cleanup or restore deleted data.
Disconnecting accounts or deleting workspaces or organizations can permanently remove associated data earlier. Organization deletion cancels its subscription. Deleting a personal account does not delete shared organization data. You are responsible for exporting required content before deletion. See the data deletion instructions. Original Instagram content and legally retained records are unaffected by app deletion.
Statutory consumer withdrawal
EU consumers normally have 14 days from conclusion of the relevant distance service contract to withdraw without giving a reason, subject to applicable statutory periods and exceptions. Notify us before the period expires by a clear statement to hello@socialfunnels.io identifying the contract. The model withdrawal form is optional. Reimbursements legally due are made without undue delay and within 14 days of notice, by the original payment method unless otherwise expressly agreed, without a reimbursement fee.
If you expressly request performance during the withdrawal period and the statutory conditions are met, you must pay a proportionate amount for the service supplied before withdrawal. The right is lost on full performance only where the required prior consent and acknowledgment have been obtained. Ordinary renewal cancellation does not constitute statutory withdrawal.
Consumers retain mandatory rights concerning supply, conformity, and necessary updates, including correction, price reduction, or termination where required by law. These rights apply independently of our commercial refund policy.
8. Exports and switching
Exports are subject to your permissions and applicable retention periods. For return of other customer data or a switching request, contact hello@socialfunnels.io before scheduled deletion. Exportable customer data and digital assets exclude our software, trade secrets, and other customers’ information.
Where the EU Data Act applies, we provide the required switching cooperation, continuity, security, and data retrieval. The usual maximum transition period is 30 calendar days, subject to statutory exceptions and agreed extensions, followed by at least 30 calendar days for retrieval. Applicable statutory retrieval periods take priority over ordinary cleanup. We impose no separate switching fee; ordinary service charges remain payable subject to statutory termination rights.
9. Availability, suspension, and changes
Maintenance, outages, network failures, and provider restrictions may interrupt or delay service. You must maintain independent copies of important content. We may suspend affected activity immediately where reasonably necessary for non-payment, suspected abuse, security, legal or platform requirements, or a material breach, and terminate access for serious or repeated breaches. Notice and an opportunity to remedy will be provided where required by law or reasonably practicable without increasing the risk.
We may change the service to meet legal or platform requirements, address security risks, or develop functionality. Consumer digital-service changes beyond maintaining conformity will not impose an additional cost. For a greater-than-minor adverse effect, we provide the required advance notice on a durable medium and statutory right to terminate free of charge, normally within 30 days of notice or the change, whichever is later, unless a lawful exception applies. Closure or material reductions are subject to required notice and data-retrieval obligations.
10. Intellectual property and external tools
We and our licensors retain all rights in the service, software, branding, and documentation. Your subscription grants a limited, non-exclusive, non-transferable right to use the service for its intended purposes during authorized access. You must not copy, resell, sublicense, or reverse engineer the service except as expressly authorized or permitted by mandatory law. Applicable open-source licence rights are unaffected.
You are responsible for reviewing actions proposed by external tools and AI assistants and for the data and access you provide to them. Their separate terms apply.
11. Liability and business-customer indemnity
For business and professional customers, to the maximum extent permitted by law, we exclude liability for indirect or consequential loss and lost profit, revenue, business opportunity, or goodwill. Our aggregate liability is limited to the greater of €100 or the fees your organization paid for the service in the 12 months preceding the event giving rise to the claim.
Business and professional customers shall indemnify us against third-party claims, damages, and reasonable legal costs to the extent caused by their unlawful content, infringement of third-party rights, unlawful data processing, or breach of these terms. This excludes amounts caused by our own breach or wrongdoing. We will promptly notify you of a claim and reasonably cooperate in its defence; settlements imposing obligations on us require our prior written consent.
These business-customer limits and indemnities do not apply to consumer contracts. No exclusion or cap applies to fraud, intentional wrongdoing, gross negligence, or liability that cannot lawfully be limited, including mandatory data-protection liability.
12. Customer data processing terms
For personal data processed on your organization’s behalf, your organization is the controller, or an authorized processor, and we are its processor or subprocessor as determined by applicable data-protection law. This section constitutes the data processing agreement and prevails over conflicting general processing provisions.
Scope. Processing covers provision of configured automation, messaging, comments, contacts, resources, reporting, storage, and support for the service term and return/deletion period. Operations include collection, recording, organization, storage, retrieval, transmission, analysis, export, and deletion. Data includes Instagram profiles and identifiers, messages, comments, contact fields, tags, files, configurations, and delivery, usage, and outcome records. Subjects include users, representatives, clients, and connected-account contacts. Special-category processing requires an expressly agreed use and safeguards.
Instructions. You warrant lawful instructions, permissions, and notices. We process only on documented instructions, including this agreement, authorized settings and actions, and written support requests, unless law requires otherwise. We notify you of that requirement unless prohibited, and of instructions we consider unlawful.
Security and confidentiality. Authorized personnel are bound by confidentiality. We maintain measures appropriate to processing risks, including secure transport, encrypted integration credentials, server-side authorization, private storage, and diagnostic filtering.
Subprocessors. You generally authorize the providers in the Privacy policy where they process customer data for us. We impose the required written protection and remain responsible for their relevant processing obligations. Intended additions or replacements are notified before access, with a meaningful opportunity to object on data-protection grounds. Unresolved objections may require an alternative arrangement or termination of affected processing. Independent platforms remain subject to their own applicable arrangements.
Assistance and breaches. Taking account of the processing and information available, we provide legally required assistance with data-subject requests, security, impact assessments, and authority consultations. We notify you without undue delay after becoming aware of a breach affecting customer personal data and provide available information and reasonable cooperation. Requests concerning your controlled data are referred to you where appropriate; we act only as authorized or required by law.
Transfers. International transfers follow documented instructions and applicable transfer requirements, including appropriate safeguards where required.
Return and deletion. At the end of processing, customer personal data is returned or deleted at your choice, unless law requires retention. Request return before the applicable retrieval period ends. Remaining copies are deleted under the retention and cleanup process; restricted backups expire under their lifecycle and deletion instructions apply after recovery. Statutory retrieval rights take priority over ordinary cleanup.
Compliance evidence. We provide information necessary to demonstrate compliance and permit and contribute to required audits and inspections. Reasonable notice, confidentiality, scope, and security arrangements apply without restricting statutory audit rights or other customers’ data. Assistance outside our statutory or contractual duties may be charged at rates agreed in advance.
13. Governing law and disputes
Portuguese law governs. For business and professional customers, the competent courts of Porto have exclusive jurisdiction, subject to mandatory law. Consumers retain mandatory protections under applicable residence law and mandatory jurisdiction rules. See the consumer dispute-resolution information.
14. Amendments
We may amend these terms for legal, regulatory, security, platform, service, or commercial changes. Material amendments will be notified in advance where required, with urgent measures taking effect as law permits. Where acceptance is required, it will be obtained. Amendments do not retrospectively remove accrued rights.
15. Contact
Contractual, billing, and processing enquiries should be sent to hello@socialfunnels.io. Operator details appear in the Legal notice.
